1. Acceptance of These Terms
These Terms and Conditions (the “Terms”) govern access to and use of vitacoreclub.com and any related pages, communications, content, products, and services operated under the VitaCore Biotech name (collectively, the “Site”). “VitaCore,” “we,” “us,” and “our” refer to VitaCore Biotech and its operating entity, affiliates, successors, and assigns. “You” means each Site visitor, purchaser, and organization on whose behalf a person acts.
By accessing the Site, creating an account, clicking an acceptance box, submitting an order, or purchasing a product, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site or purchase products. If you act for an organization, you represent that you have authority to bind it.
2. Eligibility and Qualified Purchasers
You must be at least 21 years old and legally capable of entering a binding agreement. Products may be purchased only by persons or organizations with the knowledge, facilities, training, and legal authority necessary to receive, store, handle, and use research materials safely and lawfully. We may request age, identity, business, institutional, licensing, intended-use, or other verification and may refuse or cancel an order in our discretion.
3. Research Use Only; Purchaser Representations
Each time you access product information or place an order, you represent, warrant, and agree that:
- All products will be used solely for legitimate in vitro laboratory, analytical, educational, or other lawful research purposes.
- No product will be used in or on humans or animals, including by ingestion, injection, inhalation, topical application, implantation, compounding, clinical use, veterinary use, or any other administration.
- You will not use any product for self-experimentation, bodybuilding, weight management, wellness, diagnosis, treatment, mitigation, cure, or prevention of disease.
- You will comply with all applicable federal, state, local, and international laws, regulations, institutional rules, safety requirements, permits, and professional standards.
- You have independently determined that acquisition, possession, storage, transport, handling, and use are lawful in your jurisdiction and appropriate for your facilities and personnel.
- You will review available labeling, safety information, specifications, and certificates of analysis before use and will use appropriate engineering controls, personal protective equipment, storage, security, and disposal practices.
- You will not relabel, misbrand, adulterate, tamper with, counterfeit, or represent a product as approved, sterile, pharmaceutical grade, suitable for clinical use, or fit for any purpose not expressly stated by VitaCore.
- You will not resell, redistribute, export, transfer, or provide a product to another person unless VitaCore has authorized the transaction in writing and the transfer is lawful and limited to a qualified research recipient.
- You will not purchase for a prohibited third party, evade quantity or geographic restrictions, or provide false or misleading account, payment, identity, tax, or intended-use information.
Any contrary use is unauthorized, a material breach of these Terms, and undertaken entirely at your own risk. A disclaimer, label, certificate of analysis, or acceptance of an order does not establish that a product or intended use is lawful in every jurisdiction.
4. No Medical, Professional, or Regulatory Advice
Site content is provided for general product-identification and research information only. It is not medical, pharmacy, veterinary, legal, regulatory, or other professional advice and must not be relied on to make health or treatment decisions. Statements on the Site have not necessarily been evaluated by the U.S. Food and Drug Administration. Product names, references to scientific literature, and descriptions of laboratory pathways or research do not imply safety, efficacy, approval, or fitness for human or animal use.
5. Product Information and Certificates of Analysis
We strive to describe products accurately, but images may be illustrative and packaging, appearance, specifications, concentration, lot information, availability, and documentation may change. A certificate of analysis reports results for the identified lot and tested attributes; it is not a warranty of sterility, clinical suitability, safety, efficacy, or fitness for a particular purpose. You are responsible for independent verification and validation appropriate to your research before use. To the extent permitted by law, minor variations that do not materially affect the stated research specification are not defects.
6. Orders, Acceptance, and Cancellation
An order is an offer to purchase and is subject to our acceptance. An automated confirmation acknowledges receipt but does not constitute acceptance. We may limit quantities, require verification, correct pricing or listing errors, reject suspected fraud or prohibited use, or cancel an order before shipment. If we cancel a paid order, we will refund the amount paid for the canceled item or order to the original payment method, subject to applicable law.
You must review your order, shipping address, and contact information before submission. Requests to change or cancel an order are not guaranteed once processing begins. We do not authorize purchases for unlawful destinations or uses.
7. Prices, Taxes, and Payment
Prices are stated in U.S. dollars unless otherwise shown and may change without notice. You are responsible for applicable sales, use, excise, customs, duties, and similar charges, except taxes imposed on our net income. You authorize us and our payment providers to charge the selected payment method for the order total and any disclosed charges. We may use third-party fraud screening and may delay, decline, or cancel transactions that cannot be verified.
Do not initiate an improper chargeback. Contact support@vitacoreclub.com first so we can investigate a billing or fulfillment concern. Nothing in these Terms limits rights available under applicable payment-network rules or law.
8. Shipping, Delivery, Risk of Loss, and Inspection
Shipping dates and transit times are estimates unless we expressly agree otherwise. We will provide delay notices, cancellation options, and refunds when required by applicable law. Title and risk of loss pass as provided by applicable law; nothing in these Terms shifts to you a risk that the law requires us to retain. You are responsible for lawful receipt, prompt retrieval, appropriate storage, and site security after delivery.
Inspect each shipment promptly. Report a missing, incorrect, visibly damaged, leaking, compromised, or temperature-concern shipment to support@vitacoreclub.com within 48 hours after delivery, and retain all packaging, labels, photographs, and contents for review. Do not use a product that appears damaged, contaminated, mislabeled, or compromised. Failure to report promptly may affect our ability to investigate, but does not waive non-waivable legal rights.
We may restrict or refuse shipment to any location based on law, carrier rules, sanctions, export controls, product characteristics, or business risk. You are the importer of record for authorized international orders unless expressly agreed otherwise and are responsible for permits, customs clearance, and compliance.
9. Returns, Refunds, and Replacement
Because research materials may be sensitive to storage, handling, chain-of-custody, and contamination, products generally cannot be returned after delivery. We may, after review, replace or refund a product that we determine was incorrect, missing, materially damaged in transit, or materially nonconforming when timely reported under Section 8. Do not ship any product back unless we issue written return instructions or authorization.
Any approved refund will ordinarily be issued to the original payment method. Shipping charges are nonrefundable except where the return results from our error or applicable law requires otherwise. This policy does not exclude or limit rights that cannot lawfully be waived.
10. Accounts and Site Security
You must provide accurate information and keep account credentials confidential. You are responsible for activity conducted through your account to the extent permitted by law and must promptly notify us of suspected unauthorized use. You may not probe, scrape, interfere with, reverse engineer, introduce malicious code into, overload, or bypass security or access controls of the Site. We may suspend or terminate access when reasonably necessary to protect users, VitaCore, or third parties or to address a suspected violation.
11. Intellectual Property
The Site and its text, graphics, photographs, product presentation, compilation, design, logos, and other content are owned by or licensed to VitaCore and are protected by intellectual-property laws. We grant you a limited, revocable, nonexclusive, nontransferable license to access the Site for lawful evaluation and purchase of products. No license to any trademark, patent, formula, process, or other intellectual property is granted by implication. You may not copy, republish, sell, exploit, or create derivative works from Site content except with prior written permission or as allowed by law.
12. Third-Party Services and Links
The Site may rely on or link to payment processors, carriers, laboratories, analytics providers, and other third parties. Their services and terms are separate from ours. We do not control third-party sites or services and are not responsible for their content or acts, except to the extent responsibility cannot be excluded by law.
13. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE, CONTENT, AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” VITACORE DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES NOT EXPRESSLY STATED IN WRITING, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND RESULTS. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT ANY PRODUCT IS SUITABLE FOR CLINICAL, HUMAN, ANIMAL, DIAGNOSTIC, THERAPEUTIC, FOOD, COSMETIC, OR HOUSEHOLD USE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO THESE DISCLAIMERS APPLY ONLY TO THE EXTENT PERMITTED BY LAW.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VITACORE AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, SUPPLIERS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, DATA, BUSINESS, RESEARCH, OR GOODWILL; OR DAMAGES ARISING FROM UNAUTHORIZED OR IMPROPER HANDLING, STORAGE, TRANSFER, OR USE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TOTAL LIABILITY ARISING FROM A PRODUCT OR ORDER WILL NOT EXCEED THE AMOUNT YOU PAID TO VITACORE FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM.
These limitations do not apply to liability that cannot be limited or excluded under applicable law, including where applicable liability for fraud, willful misconduct, or personal injury caused by conduct for which exclusion is prohibited.
15. Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless VitaCore and its owners, officers, employees, contractors, affiliates, suppliers, and agents from third-party claims, losses, liabilities, penalties, fines, costs, and reasonable attorneys’ fees arising from your unlawful or unauthorized purchase, resale, transfer, labeling, storage, handling, disposal, or use of a product; your violation of these Terms; or your infringement of another person’s rights. This obligation does not apply to the extent a claim results from VitaCore’s own conduct for which indemnification is prohibited by law.
16. Compliance, Sanctions, and Export Controls
You may not use the Site or obtain, export, re-export, transfer, or use products in violation of U.S. sanctions, export-control laws, import restrictions, controlled-substance laws, or other applicable requirements. You represent that you are not a prohibited or restricted person and are not acting for one. We may request documentation, block a transaction, or cooperate with lawful government requests when reasonably required.
17. Dispute Resolution; Individual Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS LEGAL RIGHTS.
Before filing a claim, the complaining party must send a written notice describing the dispute and requested relief. Send notices to support@vitacoreclub.com with “Legal Dispute Notice” in the subject line. The parties will attempt in good faith to resolve the matter for 30 days after receipt.
Except for an eligible small-claims action or a claim seeking temporary or preliminary relief for misuse of intellectual property, confidential information, or Site security, any dispute arising from these Terms, the Site, a product, or an order will be resolved by binding individual arbitration administered by the American Arbitration Association under the rules applicable to the dispute. The Federal Arbitration Act governs this provision. The arbitration may be conducted remotely unless the arbitrator requires otherwise. Each party may seek any individual remedy available under applicable law.
NO CLASS OR REPRESENTATIVE ACTIONS. DISPUTES MUST BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, MASS, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY AWARD RELIEF ONLY TO THE INDIVIDUAL PARTY SEEKING RELIEF, EXCEPT WHERE APPLICABLE LAW REQUIRES OTHERWISE.
You may opt out of arbitration by emailing support@vitacoreclub.com within 30 days after first accepting these Terms. The email must state your full name, account email, mailing address, and a clear request to opt out of arbitration. Opting out will not affect other Terms.
18. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles, except that the Federal Arbitration Act governs Section 17. For a dispute that is not subject to arbitration, the parties consent to exclusive jurisdiction and venue in the state or federal courts located in Miami-Dade County, Florida, unless applicable law requires another forum.
19. Privacy and Electronic Communications
Our Privacy Policy explains how we collect, use, and disclose personal information. By using the Site, you consent to receive transactional communications electronically. Marketing communications are subject to applicable consent requirements and opt-out rights. Electronic notices, disclosures, and records satisfy legal writing requirements to the extent permitted by law.
20. Changes to These Terms
We may update these Terms from time to time. The revised version will display a new effective date and will apply prospectively when posted, except where additional notice or consent is required by law. Material changes will not retroactively alter a dispute that arose before the change. Continued use after the effective date constitutes acceptance of the revised Terms.
21. Suspension and Termination
We may suspend or terminate access, cancel pending orders, or refuse future transactions when we reasonably believe there is fraud, prohibited use, legal or safety risk, abuse, or a violation of these Terms. Provisions that by their nature should survive—including payment obligations, research-use restrictions, intellectual-property terms, disclaimers, limitations, indemnity, and dispute provisions—will survive termination.
22. General Terms
These Terms, the Privacy Policy, and any product-specific terms presented at purchase form the entire agreement regarding the Site and orders and supersede prior communications on those subjects. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, reorganization, sale of assets, or by operation of law. Headings are for convenience only. No agency, partnership, joint venture, employment, or fiduciary relationship is created.
